01 Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you ("Client", "User", "Intern", or "Subscriber") and NetVantage Systems Private Limited ("NetVantage", "Company", "we", "us", or "our"), incorporated under the Indian Companies Act, having its registered corporate campus at Arch Road, 1st Floor, 144 Co-operative Colony, Perks Rd, Uppilipalayam, Coimbatore, TN 641015, India.

By accessing our websites (netvantage.in and related corporate brands including HostingSetu), subscribing to our corporate hosting or server infrastructure, commissioning custom website or web application engineering, purchasing domains, or engaging in our academic internship programs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

02 Scope of Core Commercial Services

NetVantage Systems delivers six primary enterprise-grade technology services. Each service is provided subject to specific operational standards, technical thresholds, and project schedules:

• 1. Corporate Business E-Mail Solutions: Dedicated and hybrid business mail servers, custom domain mailbox provisioning, DKIM/SPF/DMARC authentication, enterprise spam filtering, and 99.9% mail delivery uptime. Users are strictly prohibited from utilizing mail services for bulk unsolicited marketing (SPAM).
• 2. Web Hosting Infrastructure: High-performance NVMe shared, cloud, and managed hosting solutions powered by industry-standard control panels (cPanel / DirectAdmin). Standard packages include automated daily backups, resource throttles, free SSL certificates, and 99.99% network SLA.
• 3. Cloud & Bare-Metal Dedicated Servers: Provisioning of enterprise KVM VPS, compute-optimized cloud instances, and dedicated bare-metal servers with root access, redundant gigabit uplinks, hardware replacement guarantees, and custom hypervisor clustering.
• 4. Domain Registration & DNS Management: Accredited domain registration, renewal, transfer, and Anycast DNS routing services. Domain registrants must maintain verified and accurate WHOIS contact data pursuant to ICANN and registry regulatory guidelines.
• 5. Website Design & UI/UX Development: Custom corporate website design, mobile-first responsive frontend engineering, cross-browser compatibility, search engine structural optimization, and graphic production delivered according to approved milestone schedules.
• 6. Custom Web Applications Development: Bespoke web software architecture, microservices engineering, SaaS platforms, database design, REST/GraphQL API development, and ongoing application maintenance delivered under agreed Statements of Work (SOWs).

03 Account Responsibility & Security

When creating an account or provisioning infrastructure credentials with NetVantage, you warrant that all information provided is accurate, current, and complete. You are exclusively responsible for safeguarding any API tokens, SSH private keys, root credentials, and multi-factor authentication devices associated with your environment.

You must promptly notify NetVantage Security Operations at enquiries@hostingsetu.com upon discovering any unauthorized access, compromised credentials, or security anomalies within your infrastructure instance.

04 Enterprise SLA & Uptime Guarantee

NetVantage commits to a 99.99% network and hypervisor uptime guarantee for production enterprise cloud clusters, measured on a monthly calendar basis, excluding scheduled maintenance announced at least 48 hours in advance.

In the event of an unscheduled outage caused directly by NetVantage primary datacenter infrastructure failure exceeding SLA thresholds, eligible corporate clients may apply for prorated service credit vouchers in accordance with their signed Master Services Agreement (MSA).

05 Intellectual Property Rights

All trademarks, corporate logos, website design systems, graphic assets, proprietary software libraries, and source code authored by NetVantage Systems remain the exclusive intellectual property of NetVantage Systems Private Limited.

For custom bespoke software engineered for clients under an active Statement of Work, intellectual property rights to the custom application deliverables shall transfer to the client upon full settlement of all contracted commercial invoices, reserving NetVantage's rights in pre-existing core frameworks and general reusable developer tooling.

06 Student Internship Regulations

Participation in the NetVantage Student Internship Program is subject to strict academic and professional conduct:

• Experiential Nature: The internship constitutes experiential industrial project execution. It is strictly not commercial coaching, classroom teaching, or guaranteed post-program employment.
• Code Reviews & Deliverables: Students must satisfy defined sprint milestones, maintain minimum 85% attendance during live technical sessions, and pass code quality reviews to receive official completion certification.
• Non-Disclosure: Interns may have supervised access to staging cluster environments and must maintain absolute confidentiality regarding NetVantage internal architectures, client data, and staging credentials.

07 Acceptable Use Policy (AUP)

NetVantage cloud infrastructure and network bandwidth may not be used for any prohibited activities, including but not limited to:

• Distribution of unsolicited commercial bulk email (SPAM) or unauthorized phishing campaigns.
• Launching, coordinating, or participating in Denial of Service (DoS/DDoS) attacks, network scanning, or port probing.
• Hosting or distributing unlawful content, malicious binaries, ransomware, or infringing intellectual property.
• Unregulated crypto mining or resource abuse exceeding allocated hypervisor CPU thresholds.

Violation of this Acceptable Use Policy will result in immediate suspension or termination of services without refund, and potential referral to Indian law enforcement authorities under the Information Technology Act, 2000.

08 Billing, Payments & Cancellations

Services are billed in advance according to the billing cycle selected (monthly, quarterly, or annual). All payments are denominated in Indian Rupees (INR) or agreed foreign currency, subject to applicable Goods and Services Tax (GST) under Indian tax laws.

Invoices must be settled within fifteen (15) days of issuance. NetVantage reserves the right to suspend cloud instances or access tokens if invoices remain outstanding after written notification. Cancellation requests must be submitted through official support ticket channels at least thirty (30) days prior to the start of the next billing cycle.

09 Limitation of Liability

To the maximum extent permitted by applicable law, NetVantage Systems Private Limited shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data loss, business interruption, or third-party upstream carrier failures.

In all circumstances, NetVantage's aggregate financial liability arising out of or related to these terms shall not exceed the total amounts paid by the client to NetVantage for the specific service giving rise to the claim during the three (3) months immediately preceding the incident.

10 Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, construed, and enforced exclusively in accordance with the laws of the Republic of India, without regard to conflict of laws principles.

Any controversy, claim, or dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts situated at Coimbatore, Tamil Nadu, India.
